By downloading and installing the Application, you agree to be bound by these terms of use as set out below, all applicable laws and regulations, and agree that you are responsible for compliance with any local laws. If you do not agree with any of these terms, you are prohibited from using and accessing the Application. The materials contained in the Application are protected by applicable copyright and trademark law. Please review these terms of use carefully before installation and/or acceptance.
The Application is licensed, and not a transfer of title, and [Reu] reserves all rights not expressly granted in these terms of use. In accordance with the terms and subject to the conditions hereof, [Reu] grants you a [fully-paid/royalty-free], personal, non-exclusive and non-transferable (without the right to sub-license) limited license to download, install and use the Application on a mobile device that you own or control.
Except as specifically provided herein, you may not:
(I) [distribute or make the Application available over a network where it could be used by multiple devices at the same time,]
(II) modify, adapt, disassemble, alter, decompile, reverse engineer [or make derivative works based on] the Application or any software contained therein,
(III) remove any copyright or other proprietary notations from the materials, or
(IV) use, rent, loan, lease, distribute or attempt to grant other rights to the Application to third parties.
All of the content featured or displayed in or through the Application (“Content”) and all trademarks, service marks and trade names of [Reu] included therein, are owned by [Reu], its licensors, vendors, agents and/or its Content providers.
All Content is subject to [Reu]’s terms of use, as may be amended from time to time.
You represent and warrant that:
(I) you have the authority to bind yourself to these terms of use
(II) you and your authorized users have the full right, power and authority to perform any function in relation to the Content (including without limitation uploading, posting, reproducing, distributing, publicly displaying and making derivative works from the Content) that you or your authorized users perform via the Application
(III) your use and the use by your authorized users of the Content do not and will not infringe any copyright or right of privacy, violate any statutory or common law right; interfere with any intellectual property or other proprietary rights of any third party, or contain any matter that is libelous or otherwise in contravention of law
(IV) your use of the Application will be solely for purposes that are permitted by these terms of use
(V) all the information you have provided to us about yourself during the registration process or through any other feature on the Application are and will be true, accurate and complete, and
(VI) your use of the Application will comply with all applicable local laws and regulations
[Reu] will not be liable for any direct or indirect losses or damages arising from or in any way related to your access or use of the Application whether in contemplation of the parties, whether based on breach of contract, tort (including negligence), product liability or otherwise. The Application and any software contained therein are provided “as is” and “as available” without warranty of any kind.
[Reu] may immediately terminate these terms of use at any time at its sole discretion with or without notice to you. Additionally, your rights under these terms of use will terminate automatically if you fail to comply with any term(s) hereof (unless otherwise waived by [Reu] in writing). Upon termination, all legal rights and licenses granted to you hereunder shall terminate immediately and you shall cease all use of the Application and shall uninstall and remove the Application from your mobile device. All sections that may be reasonably interpreted to or are intended to survive these terms of use will survive these terms of use.
Unless restricted by applicable law, you agree that any and all personal information/data relating to you collected by [Reu] from the Application from time to time may be used and disclosed for such purposes and to such persons as may be in accordance with the [Reu Reu’s privacy statement – URL: if you have any]
These terms of use are governed by the laws of the Republic of Singapore and any dispute arising out of or in connection with them shall be subject to the nonexclusive jurisdiction of the courts of the Republic of Singapore.
The parties agree that the application of the Contracts (Rights of Third Parties) Act 2001 is hereby excluded.
You agree that the terms and conditions stated herein are severable. If any paragraph, section, provision or clause in these terms of use shall be found or be held invalid or unenforceable in any jurisdiction, the remainder of these terms of use shall be valid and enforceable.
